Omega Laser Services and Survey Equipment - Conditions of Sale
GENERAL
Omega Laser Services agrees to sell goods or perform services for the customer only upon the following terms and conditions. All tenders and quotations are submitted and all orders are accepted solely upon and subject to the following terms and conditions and all other terms, warranties and conditions howsoever arising are excluded unless expressly accepted in writing to Omega Laser Services.
CONDITIONS
No contract for the sale of Goods shall arise until Omega Laser Services dispatches the Goods to the Customer.
Acceptance of delivery of Goods shall be deemed conclusive evidence of the Customers acceptance of these Conditions.
Written quotations do not constitute an offer and are subject to confirmation only upon acceptance of order.
Unless otherwise agreed in writing, quotations can only remain open for a period of 14 days from the date of quotation by Omega Laser Services and the Customer must place his order in writing within the said 14 day period.
PRICES
The Price shall be that on the Omega Laser Services current Price List, or if applicable the price contained in the Omega Laser Services Quotation. All prices are an invitation to treat not an offer to sale.
Omega Laser Services reserves the right to revise prices prior to despatch of Goods to reflect any direct or indirect increase in costs to the Seller. If the price has been paid in full prior to despatch Omega Laser Services will notify the Buyer of any price revision which may be incured and will not proceed without prior agreement from the customer.
All prices are exclusive of VAT, which shall be paid in addition if applicable according to legal requirements.
Payment must be made in full before the delivery of any Goods except where the Buyer has an agreed credit account.
If any act or proceedings shall be commenced in which the Buyer's solvency is concerned, all monies under any transaction covered by these Conditions shall become immediately due and payable.
Omega Laser Services will try to ensure that all information on this site is accurate. However, just occasionally, an error can occur. If Omega Laser Services discovers an error in the price or description of a product which the Buyer has ordered Omega Laser Services will notify the Buyer and will ask whether the order is to continue at the corrected price.
Payment can be made by Mastercard, Visa, Delta, Switch, Meastro and American Express. Payments are processed through Payment Sense and deducted from your card account by First Data when the order is processed.
To ensure maximum protection and security, Omega Laser Services do not store your credit or debit card details online, offline or via any other system. We are PCI compliant which is an external assessment on security of credit cards.
Omega Laser Services reserves the right to revise prices prior to despatch of goods to reflect any direct or indirect increase in costs. If the price has been paid in full before despatch Omega Laser Services will not proceed without prior written agreement from the customer.
DELIVERY
Times and dates for despatch and/or delivery are only approximate and shall not be the essence of the contract unless otherwise expressly stated.
Omega Laser Services shall not be liable for any loss, costs, expenses or damage whatsoever arising from delay in completion of or the delivery of Goods howsoever caused and the Customer shall not be entitled to cancel any order or refuse to accept delivery in the event of such delay.
Unless otherwise agreed Omega Laser Services may deliver in instalments and in each case each shall be treated as seperate Contract. The Customer will be given prior written notice. Failure by the Customer to pay for any delivery or instalment when due shall entitle Omega Laser Services to cancel further deliveries. The Customer shall be liable for any costs incurred.
Delivery charges are UK Mainland only
• UK Mainland excludes Northern Ireland, Scottish Highlands, Offshore Islands and Channel Islands. Delivery charges to the above areas subject to weight and volume of products purchased. For prices please call or e-mail barry@lasersurveyequipment.co.uk
E.U Carriage will be shipped using a courier
• Orders placed to be shipped to the E.U will be priced upon application, please contact us via telephone or e-mail along with a valid VAT Registration Number to enable us to process the VAT exemption on your order correctly.
Rest of the world will be shipped using a courier
• Orders placed to be shipped to the rest of the world will be priced upon application, please contact us via telephone or e-mail to enable us to process your enquiry efficiently.
TERMS OF PAYMENT
All invoices, contracts shall be paid in full, free from any deduction for any set off, counterclaim or otherwise howsoever.
Any returned payments will be subject to an administrative charge of £5.00 per return.
Interest on overdue Invoices shall accrue from the date when payment becomes due from day to day until the date of payment at 2.5% before and after any judgement.
Failure to pay for any Goods and Delivery shall entitle Omega Laser Services to suspend any further deliveries to the Customer without prejudice to any other rights that Omega Laser Services may have.
Omega Laser Services reserves the right where genuine doubts arise as to a Customers financial position or in the case of failure to pay for any Goods or any Delivery as aforesaid to suspend further deliveries without liability until payment has been provided.
Omega Laser Services remains the owner of the Goods affected by the Contract until the Customer has paid for such Goods.
If any payment due under these conditions is overdue in whole or part, Omega Laser Services my without prejudice to any of its rights and remedies recover and resell any or all of such Goods and may enter upon the Customers premises for that purpose. The Customer will bar the cost in doing so.
RETURNS AND CANCELLATIONS
No contract shall be cancelled nor shall any Goods, which are in accordance with the Contract, be returned without prior approval of Omega Laser Services.
Omega Laser Services reserves the right to make a handling and restocking charge of 3% on Contracts returned if they were ordered in error or are no longer required.
The Customer will be liable for the cost of remedying any damage to the Goods returned if damage has, in the opinion of Omega Laser Services, been caused by the Goods being inadequately repackaged by the Customer or through the Customers fault.
Any Goods in respect of which any claim of defect or damage is made shall be presented by the Customer intact together with the original packaging at the Customers own cost. If goods are to be returned, the Customer should arrange at their expense a delivery service i.e Special delivery or an alternative courier service such as Interlink, City Link etc. which includes insurance to cover for the full amount of the returned goods or transaction. if the goods are not returned, lost, missing or are damaged, the Customer must claim reinbursement under their delivery insurance agreement. If the Goods are in fact defective Omega Laser Services will refund the Cost.
OWNERSHIP AND RISK
The Customer must satisfy themselves as to the suitability of the Products for their intended use.
The risk in the Goods shall pass completely to the Customer at the point of delivery.
Omega Laser Services will accept no liability for any loss or damage or deterioration of Goods from whatever cause resulting from use of the Products, whether for injury, profit or data loss.
If the Customer undertakes delivery of the Goods Omega Laser Services shall not be liable for any loss, damage, deviation or delay of the Goods in transit or for mis-delivery or short delivery unless the Customer gives written notice of the complaint within 3 days of receipt of Goods. The Customer must inspect the Goods immediately on arrival at the premises.
The Customer must inspect the Goods before any use is made of them. If no complaints in writing are received within 3 days of receipt of Goods the Goods will be deemed to be in all respects in accordance with the order and the Customer will be bound to pay for the same accordingly.
INSOLVENCY OF CUSTOMER
If the Customer commits and act of bankruptcy or becomes insolvent or makes any composition or arrangement with his or its creditors or being a limited Company is placed in liquidation or suffers a receiver or administrator to be appointed Omega Laser Services may without liability or notice and without prejudice to it other rights determine any contract with the Customer who shall bear any loss resulting from a re-sale of the Goods comprised therein.
In respect of all debts due from the Customer under this or any other Contract Omega Laser Services shall be entitled to a general lien on all Goods and Property and apply the proceeds towards such debts as it deems fit.
FORCE MAJEURE
Omega Laser Services shall not under any circumstances be liable for its failure to perform any Contract if such failure arises wholly or partly as a result of any of the following: - Inability to secure labour, materials or supplies as a result of any act of God, war, riots or civil disturbance, strike, lockout or other labour dispute, fire flood, drought or accident, legislation, requisitioning or other act or order by any government department, council or other duly constituted authority, or of any other cause beyond Omega Laser Services control. In such event, no liability shall attach to Omega Laser Services by reason of cancellation or variation of any contract.
ENGLISH LAW
These Conditions of Sale shall be in all respects construed and governed in accordance with English Law.
CONDITION TO PREVAIL
These Conditions of Sale shall override any terms or conditions sought to be incorporated by the Customer in the Contract in the event of the Customers terms and conditions containing clauses which are inconsistent with or which purport to exclude Omega Laser Services conditions in any manner, such clauses shall be of no effect and Omega Laser Services Conditions of Sale shall prevail.
